
GENIVAR’s Code of Ethics (“Code”) reflects the commitment made by GENIVAR to abide by ethical principles in its business dealings with clients, suppliers, shareholders and employees. Among other things, the Code aims to provide guidance for the actions and decisions of the Company’s directors, officers, and employees with respect to their corporate obligations as well as their business relationships.
The Code reflects GENIVAR’s values, to which all GENIVAR employees adhere. These values are: teamwork, respect, integrity, professionalism, accountability and quality. GENIVAR believes it can continue to grow by investing in these values, which promote personal fulfillment and harmonious relations between individuals, while helping provide a healthy environment that is conducive to effectively carrying out the mandates entrusted to us by our clients.
This Code applies to all directors, officers and employees (“employees”) of GENIVAR Income Fund and its wholly-owned subsidiaries (“GENIVAR”).
The Code applies to all situations which employees may encounter while conducting business on behalf of GENIVAR. Regardless of the principles or practices that are advocated, employees are expected to exercise judgment and discretion in determining the best conduct to adopt in a given situation. Questions regarding any of the principles set out in the Code should be directed to GENIVAR’s Human Resources Department.
Integrity
All GENIVAR employees agree to conduct themselves, at all times, in a responsible, honest and respectful manner with co-workers, as well as with company suppliers and clients.
It is vital for GENIVAR that the transactions, assets and liabilities recorded in its books be accurate and reliable. All statements and reports, including expense reports, invoices, pay slips and employee records, must be prepared carefully and honestly. No transactions may be kept from management or from the Company’s auditors.
